Terms of Service

Smart-FM is a private, invitation-only Platform as a Service (PaaS) — not a public service. These Terms govern your access to and use of the Smart-FM platform at smart-fm.cloud (accessed via lco.smart-fm.cloud), operated by SMART-FM.CLOUD ("we", "us", "our"). Access is granted only to authorised, invited users. By accessing or using the platform, you agree to these Terms.

1. Acceptance of these Terms

By accessing or using Smart-FM, you confirm that you are an invited, authorised user and agree to be bound by these Terms. If you use the platform on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" includes that organisation. If you do not agree, do not use the platform.

2. The service

Smart-FM is an invitation-only facilities-management and operational-intelligence PaaS providing dashboards, mapping, mobile field-capture tools, reporting and related features. Accounts are provisioned by invitation; there is no public self-registration. We may add, modify or remove features from time to time. The platform is intended solely for authorised business and operational use by client organisations and their personnel.

You and your organisation retain ownership of the data you submit ("Customer Data"). You grant us a licence to host, process and use Customer Data as needed to provide and support the platform, and as described in our Privacy Policy. You are responsible for ensuring you have the right to submit Customer Data, including any personal data of third parties, and for its accuracy. Where Smart-FM mobile applications request device location, you control that permission on your device; location is used only for operational field records as described in the Privacy Policy.

6. Intellectual property

The Smart-FM platform, including its software, design, branding and documentation, is owned by SMART-FM.CLOUD or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the platform for its intended purpose during your invited access period. No other rights are granted.

7. Third-party services

The platform may integrate third-party services (for example, mapping providers). Your use of those features may be subject to the third party's own terms, and we are not responsible for third-party services.

8. Availability and support

We aim to keep the platform available and reliable but do not guarantee uninterrupted access. We may perform maintenance, and may suspend access where necessary for security or operational reasons. Any specific service levels are set out in a separate agreement with your organisation, if applicable. Support requests may be sent to support@smart-fm.cloud.

9. Disclaimers

To the maximum extent permitted by law, the platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the platform will be error-free or that outputs, analytics or reports are complete or accurate for every purpose.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for loss of profits, data or business, arising from your use of the platform. Our total aggregate liability arising out of or relating to the platform is limited to the fees paid for the Smart-FM service in the twelve (12) months immediately before the claim (or, if no fees were paid in that period, QAR 1,000). Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Indemnity

You agree to indemnify and hold us harmless from claims, losses and expenses arising from your breach of these Terms, your misuse of the platform, or Customer Data you submit in violation of these Terms or applicable law.

12. Suspension and termination

We may suspend or terminate your access if you breach these Terms, if required by law, if your invitation or organisation's agreement with us ends, or if access is otherwise withdrawn. On termination, your right to use the platform ceases. Handling of Customer Data after termination is governed by our agreement with your organisation and our Privacy Policy.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a revised date, and continued use of the platform after changes take effect constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the State of Qatar, and the courts of Qatar have jurisdiction over any dispute, without prejudice to any mandatory rights you may have under the law of your country of residence. Where the GDPR or other local law grants you additional protections, those continue to apply.
